These Terms of Service govern your use of the All Webbed Labs website and any services or communications arising from your engagement with us. By using this site or submitting an enquiry, you agree to these terms. Specific project engagements are governed by a separate written services agreement signed by both parties, which prevails over any conflict with these general terms.

"All Webbed Labs" is a trading name of AW Labs Pty Ltd (the "Company", "we", "us", "our"), an Australian proprietary limited company. All engagements are contracted with the Company and are subject to Australian law.

2. Website Use

This website and its content are provided for general information about our services. Nothing on this website constitutes professional advice, an offer capable of acceptance, or a binding representation about the availability, price, timeline or suitability of any service. You must not use this website in any way that is unlawful, infringes the rights of others, interferes with its normal operation, or attempts to gain unauthorised access to any system, account or data.

3. Intellectual Property in Website Content

All content on this website, including copy, code, design, imagery, logos, video, and case-study material, is owned by AW Labs Pty Ltd or licensed to us. You may view and share the content for personal, non-commercial reference. Any other use, including reproduction, republication, framing, scraping, training of machine-learning models, or commercial use of any kind, requires our prior written consent.

4. Client Engagements and Project IP

The commercial terms, deliverables, timeline, pricing, warranties, and intellectual property arrangements for any client project are governed by the individual services agreement, statement of work or engagement letter signed for that project, and not by these Terms of Service. Our standard position is that, upon full payment of the agreed fees and unless expressly stated otherwise, ownership of custom deliverables transfers to the client, while we retain rights in any pre-existing tools, frameworks, libraries and know-how used to produce them.

5. Confidentiality

Information you share with us in enquiries, calls, briefs, or documents in connection with a potential or actual engagement is treated as confidential and will not be disclosed to third parties without your consent, except where disclosure is required by law or is reasonably necessary to seek professional advice. We can execute a mutual non-disclosure agreement on request, at no cost, before you share sensitive material.

6. No Warranty on Website

This website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranty that the content is accurate, complete, current, uninterrupted, error-free, or free of viruses or other harmful components. You use this website at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, and subject to any non-excludable consumer guarantees under the Australian Consumer Law, our total liability arising out of or in connection with your use of this website is limited to AUD $100. We are not liable to you for any indirect, consequential, incidental, special or punitive loss, or for any loss of profit, revenue, data, goodwill, business opportunity or anticipated savings, however arising, whether in contract, tort (including negligence), under statute or otherwise. Liability for client engagements is limited as set out in the applicable services agreement.

We are not responsible for the availability, content, security, or practices of any third party and provide such links for convenience only. Your interactions with third-party sites are governed by their own terms and policies.

9. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

11. Governing Law and Jurisdiction

These terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and courts competent to hear appeals from them for any dispute arising out of or in connection with these terms or your use of this website.
